Effective September 2024

Fingerprinting Temporary Exempted

Fingerprinting will not be required for foreign nationals seeking single-entry or double-entry short-term visas (i.e., those planning to stay for less than 180 days) at Chinese consular posts until December 31, 2025.

New Online Application Required

Chinese consulate postings in the following nations have introduced an online application phase in accordance with government initiatives to become digital: Armenia, Austria, Belarus, Belgium, Germany, Ireland, Italy, Kazakhstan, Malaysia, Netherlands, New Zealand, Serbia, Spain, and Thailand. Before presenting the original papers to the consular post, applicants for Chinese visas in these countries must fill out an online visa application form and provide any necessary supporting documentation. It is anticipated that more Chinese consulates and embassies abroad will soon enforce these obligatory online processes.

Effective July 2024

Visa Exemption for 3 Countries

Chinese officials have announced an expansion of the visa-free policy to include nationals of Australia, New Zealand, and Poland.

Citizens of these countries with ordinary passports can now enter China without a visa for business, tourism, family visits, or transit purposes for up to 15 days, effective from July 1, 2024, through December 31, 2025. Those who do not qualify for the visa exemption must still obtain a Chinese visa before entering.

There is no limit on the number of entries, provided each visit does not exceed 15 days and the travel is for approved visa waiver activities.

New Travel Permit for Foreign National Permanent Residents of Hong Kong SAR and Macau SAR

The Exit and Entry Bureau of Mainland China announced that foreign nationals who are permanent residents of Hong Kong SAR and Macau SAR can soon apply for a new Mainland Travel Permit, an electronic card-type travel document, to visit Mainland China, starting July 10, 2024.

The travel permit is multiple-entry and valid for five years for stays of up to 90 days at a time. It will allow holders to enter Mainland China for short-term purposes including investment, visiting relatives, tourism, business, seminars, and exchanges. These individuals will be prohibited from engaging in long-term work, study, or news reporting activities while in the country.

Amendments to Company Law

The Chinese government is set to implement significant amendments to its Company Law, effective from July 1, 2024. These revisions are crucial for both existing foreign companies operating in China and those considering market entry. Understanding these changes is essential for adjusting policies, mitigating risks, and enhancing competitive advantage.

Here are five key highlights from the final version of the law, comprising 112 newly added or revised articles:

  1. Capital Contribution Timeline: Shareholders of Limited Liability Companies (LLCs) in China must now fulfil their committed registered capital within five years from the company’s establishment. Failure to meet this deadline could lead to fines ranging from 5-15% of the outstanding capital.
  2. Public Information Disclosure: Companies are now mandated to publicly disclose details regarding their registered capital, including amounts, shareholder contributions, payment dates, and methods. Heavier penalties, ranging from RMB 10,000-200,000, are imposed for non-compliance or inaccurate reporting.
  3. Enhanced Corporate Governance: The amendments focus on bolstering corporate governance by requiring private companies with over 300 employees to appoint at least one employee representative to the board of directors or supervisory board. Additionally, companies can establish an audit committee to effectively monitor activities.
  4. Legal Representative Flexibility: The pool of candidates for the position of legal representative is broadened, allowing any director or manager executing the company’s affairs to serve. This modification provides international companies with greater flexibility in selecting trusted representatives.
  5. Streamlined Deregistration: Qualified companies can now simplify the deregistration process by publicly announcing their intent for 20 days. If no objections arise, deregistration can be completed within an additional 20 days, saving time and resources. Moreover, new mechanisms target “zombie companies,” streamlining their deregistration.

As the Chinese market continually evolves its regulatory framework, proactive preparation and adaptation to these changes are essential for long-term success. Remaining informed and compliant with the latest legal requirements will be pivotal for navigating the complexities of the Chinese business environment.

Visa Exemption for 12 Countries Extended

The visa-free policy has now been extended to December 31, 2025, allowing nationals from 12 countries to travel visa-free to China for up to 15 days for business, tourism, family visits, and transit purposes.

12 countries: France, Germany, Italy, Malaysia, the Netherlands, Spain, Austria, Belgium, Hungary, Ireland, Luxembourg, and Switzerland

Start of Annual IIT Filing

Chinese tax residents, referring to residents of China or individuals who have stayed in China for over 183 aggregate days in a tax year, must file their annual Individual Income Tax (IIT) for 2023 starting March 1, 2024 to June 30, 2024. Taxpayers may handle the filing themselves, or entrust the filing to their employers or to a trustee like a professional service agency. 

Individuals who have made advance payments on their 2023 IIT, as per legal requirements, may be exempt from submitting an annual tax return if they fall into any of the following scenarios:

  • they are due for a tax refund based on their annual calculations, yet their total comprehensive income for the year does not surpass CNY 120,000; 
  • the calculated tax owed annually is no more than CNY 400; 
  • their prepaid tax amount matches exactly with the year-end tax liability; 
  • or they qualify for a tax rebate but choose not to apply for it.

During the annual tax declaration period, taxpayers have the opportunity to claim or add various deductions. These include a fixed deduction of CNY 60,000 alongside specific deductions for personal payments towards approved social securities and housing funds. 

Additionally, itemised deductions can be made for expenses related to care for children under 3, educational costs for children, adult education, medical expenses for critical illnesses, interest on housing loans or rent, and care for senior family members. 

Taxpayers may also subtract contributions to eligible company pensions, professional annuities, private health insurance, personal retirement funds, and contributions to authorised charitable organisations.

Visa-free Policy Expanded for Six Countries on Trial Basis

From March 14, 2024 to November 30, 2024, foreign nationals from Austria, Belgium, Hungary, Ireland, Luxembourg, and Switzerland are now allowed to travel visa-free to China for no more than 15 days. These stays are intended for tourism, family visit, business, or transit purposes.

Effective January 2024

New Minimum Wage for Zhengzhou and Luoyang, Henan Province

Increase in Minimum Disability Allowances, Living Care Allowances and Death Grants in Anhui and Fujian province

1. Anhui

Anhui Province has updated work-related injury insurance to improve benefits for those affected. Entities must implement and report these changes by January 31, 2024.

The adjustments apply to current recipients of disability allowances and death grants as of December 31, 2022. The changes are:

Disability Allowances Increase

  • Grades 1 to 6 get monthly increases ranging from RMB136 to RMB70.

For those receiving disability allowances below certain amounts, benefits will be adjusted accordingly.

Death Grant Increase

  • Spouses get RMB68 more monthly.

  • Other relatives receive an extra RMB58 per person monthly.

  • Elderly widows or orphans get RMB30 more per person monthly.

Those with family allowance below RMB1,433 will see an initial increase of RMB20, capped at RMB1,433 after adjustments.

2. Fujian

Fujian Province updated work-related injury insurance and benefits. They increased three key benefits for injured employees. These benefits are disability, death grants, and living care allowances. The changes apply to employees on these benefits before December 31, 2022. They are not for those now on retired allowances. The adjustments are:

Disability Allowances Increase

  • Grades 1 to 4 see increases, ranging from RMB168 to RMB179 per month.

  • For those not meeting the new minimum of RMB3,159 monthly, the higher standard applies.

For grades 5 and 6, the adjustment follows the “Regulations on Work Injury Insurance.” Employers should use the new standards for all grades. The funds come from the same source.

Living Care Allowances

  • People unable to care for themselves should receive at least RMB3,795 per month.

  • Those with limited care abilities should get at least RMB3,036 per month.

  • Partially dependent individuals should receive at least RMB2,277 per month.

Death Grant

  • The grant increases by RMB59 per person per month.

  • Elderly widows or orphans receive an extra RMB50 per person.

Chinese New Year From February 10 to 17, there will be an 8-day holiday. February 4th (Sunday) and 18th (Sunday) are set as working days. All entities are encouraged to make arrangements for employees to take a break on New Year’s Eve (February 9).
Ching Ming From April 4 to 6, there will be a 3-day holiday. Work will resume on April 7 (Sunday)
Rouzi Festival April 10 is the Rouzi Festival, and it is a holiday for one day.
Labour Day From May 1 to 5, there will be a 5-day holiday. April 28 (Sunday) and May 11 (Saturday) are set as working days.
Dragon Boat Festival June 10 is a holiday, extending the break to the weekend.
Eid al-Adha June 17 is the Eid al-Adha Festival. From June 17 to 19, there will be a 3-day holiday, extending the break to the weekend.
Mid-Autumn Festival From September 15 to 17, there will be a 3-day holiday. September 14 (Saturday) is set as working day.
National Day From October 1 to 7, there will be a 7-day holiday. September 29 (Sunday) and October 12 (Saturday) are set as working days.

 

Seasons Working Hours Holidays
Summer The summer schedule will start from May 1, 2024. Working hours are: 10:00 to 14:00 in the morning and 16:00 to 20:00 in the afternoon/evening.
Winter The winter schedule will start from October 1, 2024, and the working hours are: 10:00 to 14:00 in the morning, and 15:30 to 19:30 in the afternoon/evening.

Yinchuan

The specific arrangements for festivals and holidays in 2024 are as follows:
